Master Service Agreement

This Master Service Agreement ("Agreement") is made effective between Femme Luxe ("Company" or "Femme Luxe"), a company duly registered and operating under the laws of the United Kingdom, and the individual creator or agency ("Client" or "Contractor"), their role being a content creator or subsidiary acting on behalf of the content creator.

1. Scope of Services

The Client agrees to provide services to Femme Luxe ("Services") as agreed upon by the parties. The nature and description of the Services are to produce a required set of deliverables as outlined in communication with Femme Luxe. These can include, but are not limited to content creation, social media posts, video creation, editing, and promotion of Femme Luxe’s products and website. This agreement covers all territories that Femme Luxe operates in, including, but not limited to the website, social media accounts, and CRM operations.

2. Payment

In consideration for the Services rendered under this Agreement, Femme Luxe shall provide the Client with gifted clothing, or as otherwise agreed upon by the parties.

3. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Agreement. This includes but is not limited to business plans, financial information, and customer data.

4. Intellectual Property

Any intellectual property developed or created by the Client in the course of providing Services under this Agreement shall be the property of Femme Luxe. This includes but is not limited to designs, concepts, and creative content.

5. Usage Rights

The Client acknowledges and agrees that any content created for Femme Luxe shall grant Femme Luxe full and unrestricted usage rights ("Usage Rights"). These Usage Rights encompass, but are not limited to, the right to use, reproduce, modify, adapt, publish, translate, distribute, and display the content for any purpose deemed necessary by Femme Luxe. Such Usage Rights extend to, but are not limited to Femme Luxe's website, email marketing campaigns, social media channels, paid advertising channels, and display ads in perpetuity.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

7. Entire Agreement

This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements, negotiations, and understandings, whether written or oral.
